Tankless water heater vent location

I am installing a new tankless water heater which requires an inlet and outlet for air I'm unsure what the code is, as far as where I can place the vents in relation to my furnace vents. In the picture you can see my furnace vents. The location of my new water heater is right in the center between my chimney marked by green x and my furnace vents. Is this too close to either the chimney or the furnace vents?

Look in the installation guide for those clearance dimensions.
 
If that is an openable window above it you need to be at least 3' below and at least 1' to the side in most areas if direct venting, more if only running flue out. And need to be above snow level.
